NOTICE IS HEREBY GIVEN that the 42nd Annual General Meeting of the Shareholders of the
NZEMA MANLE RURAL BANK PLC will be held on Saturday, 20th September, 2025 at the Bonzo
Kaku Senior High School Assembly Hall, Awiebo at 10 :00am.
AGENDA
1. To read the Notice convening the meeting.
2. To receive the Chairman’s report.
3. To receive and consider the accounts of the Bank for the year ended 31st December, 2024 together
with the reports of the Directors and the Auditors thereon.
4. To declare dividend ( pending regulatory approval).
5. To authorize the Directors to fix the fees of the Auditors.
6. To fix the remuneration of Directors.
7. To elect directors in place of those retiring.
8. Any other matters.
RETIRING DIRECTORS
Under Section 325 of the Companies Act 2019(Act 992) and the Bank of Ghana Corporate
Governance Directive for RCBs 2021, two directors are due for re-election. Shareholders are hereby
informed that they are at liberty under the Companies Act 2019 (Act 992) to propose any person of
their choice to contest the election to the office of Director of the Bank. The application for
directorship should be received by the Bank on or before close of Business on Tuesday 16th
September, 2025.
ELIGIBILITY FOR DIRECTORSHIP
Shareholders aspiring to be elected as directors must have the requisite minimum number of shares.
The shareholder shall possess the appropriate experience, competencies and personal qualities
including professionalism and integrity and should pass the Fit and Proper Test by the Bank of
Ghana.
NOTE:
1. A member entitled to attend and vote at the meeting can appoint a proxy to attend and vote in
his/her stead. A proxy need not be a member of the Company.
2. Copies of the Directors’ Report and the Accounts are available for collection at the Bank’s Head
Office and Branches.
3. Shareholders can also access soft copies of the audited accounts from the Bank’s website at
